Master Services Agreement

This agreement is entered into between Cadiz Studio and the Client identified below.

1. Parties

2. Scope of Work

The scope of work is limited to the services described in the selected package above. Any additional features, pages, or design work beyond the package scope will be quoted and agreed upon separately in writing.

3. Payment Terms

Accepted payment methods: Zelle, Venmo, or cash. If final payment is not received within 14 days of project completion and approval, Cadiz Studio reserves the right to take the website offline until payment is received in full.

4. Revisions

This agreement includes 2 rounds of revisions. A revision round is defined as: the client submits consolidated written feedback on the current draft, and Cadiz Studio implements those changes. Revisions do not include new pages, new sections, or fundamental changes to the design direction, which are treated as additional work and quoted separately. Additional revision rounds are available at $75 per round.

5. Delivery Timeline

Delivery timelines begin from the date both the deposit is received AND all required client materials are submitted (business info, logo, photos, and content). Delays in client material submission will extend the delivery timeline proportionally. Cadiz Studio is not liable for delivery delays caused by incomplete or late client submissions.

6. Ownership of Work

Upon receipt of full payment, the client owns:

• Their domain name (registered in the client's name at all times)
• All website content and copy created for their project
• All design assets and files created specifically for their project

Cadiz Studio retains the right to display the completed work in its portfolio and marketing materials. Cadiz Studio acts as technical administrator of client domains and hosting — never as the legal owner.

7. Client Responsibilities

The client agrees to:

• Provide all required materials (logo, photos, content, business info) within 5 business days of deposit
• Review project drafts and provide consolidated feedback within 5 business days of delivery
• Ensure all submitted content does not infringe on any third-party copyrights, trademarks, or rights
• Make payments on time as agreed in this document

8. Termination

Either party may terminate this agreement with written notice. If the client terminates after work has begun, the 50% deposit is non-refundable. If Cadiz Studio terminates due to circumstances beyond its control, the deposit will be refunded minus the value of work already completed, calculated at $75/hour.

9. Limitation of Liability

Cadiz Studio's total liability for any claim arising from this agreement is limited to the amount paid for the specific project. Cadiz Studio is not liable for any indirect, incidental, or consequential damages including loss of revenue or business interruption.

10. Care Plans (if applicable)

If the client subscribes to a monthly care plan, the following additional terms apply:

• Plans are month-to-month and can be cancelled with 30 days written notice
• Launch Care: up to 2 small updates per month (text, hours, photos, service list)
• Growth Care: up to 2 small updates per month + hosting and domain renewal
• Pro Care: up to 4 small updates per month + hosting, domain, and priority support
• "Small updates" do not include new page design, new sections, or new feature development

11. Governing Law

This agreement is governed by the laws of the State of Florida. Any disputes will be resolved in Miami-Dade County, Florida.

12. Entire Agreement

This Master Services Agreement, together with any project-specific scope of work confirmed in writing via email, constitutes the entire agreement between the parties and supersedes all prior discussions or representations.
